Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and POSX Inc (“POSX,” “we,” “us,” or “our”) governing your access to and use of the POSX mobile application, websites, accounts, payment features, digital asset features, merchant rewards, referral features, notifications, customer support, and related services (collectively, the “Services”). Please read these Terms carefully. By creating an account, clicking “Create Account,” accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Important Notices
POSX is not a bank. Unless expressly stated by a regulated partner, balances and digital assets are not bank deposits and are not insured by the FDIC, SIPC, or any other government insurance program.
POSX does not provide investment, legal, tax, accounting, or financial advice. Any information in the Services is for general informational and operational purposes only.
Digital assets, stablecoins, and blockchain transactions involve risk. Values may fluctuate, networks may fail or be delayed, and transfers may be irreversible.
The Services may include third-party payment, banking, card, identity verification, stablecoin, wallet, digital asset, or merchant services. Those services may be subject to separate terms, fees, limits, and eligibility requirements.
Rewards, cashback, rebates, referral benefits, and promotional offers are not guaranteed. They may be changed, suspended, limited, reversed, or discontinued as described in these Terms and applicable program rules.
2. Eligibility
You may use the Services only if you are at least 18 years old, have legal capacity to enter into these Terms, are not located in a restricted jurisdiction, are not subject to sanctions or other legal restrictions, and are permitted by applicable law to use the Services. We may require identity verification and may approve, reject, suspend, or terminate accounts in our discretion and as required by law or partner requirements.
3. Account Registration and Security
To use certain features, you must create an account and provide accurate, current, and complete information, such as your email address, verification code, password, nickname, invite code, phone number, and other required information. You agree to update information promptly if it changes. You are responsible for maintaining the confidentiality of your login credentials, device, verification codes, payment password, and security settings. You must notify us immediately of suspected unauthorized access, fraud, or security incidents. We are not responsible for losses caused by your failure to secure your account, device, credentials, or verification codes.
4. Identity Verification, Compliance, and Transaction Monitoring
You agree to provide information and documents we or our partners request for identity verification, KYC, AML, sanctions screening, fraud prevention, source-of-funds review, tax, transaction monitoring, regulatory reporting, or other compliance purposes. We may delay, reject, limit, freeze, reverse where possible, or report transactions, deposits, withdrawals, rewards, or accounts if we believe doing so is necessary for compliance, risk, security, or legal reasons.
5. Description of the Services
Subject to eligibility, availability, compliance review, and regional restrictions, the Services may allow you to:
Create and manage a POSX account.
View eligible balances, including stablecoins and POSX-related rewards or token balances where available.
Pay participating merchants using supported payment methods, which may include account balance, card, mobile wallet, third-party payment services, stablecoins, or digital assets.
Receive funds or digital assets through supported deposit methods and networks.
Withdraw supported balances to eligible bank accounts or whitelisted digital asset addresses.
Send supported balances to eligible contacts, recipients, bank cards, or digital asset addresses.
Participate in eligible merchant offers, cashback, rebate, rewards, and referral programs.
Receive notifications, transaction records, security alerts, support, and related account services.
We may add, remove, suspend, restrict, or modify any Service, asset, network, payment method, jurisdiction, merchant, feature, limit, fee, or eligibility criterion at any time, subject to applicable law.
6. Third-Party Providers and Merchant Services
Some Services are provided by third-party processors, banks, card networks, stablecoin infrastructure providers, wallet or custody providers, identity verification providers, merchants, or other partners. You may be required to accept their terms. We are not responsible for third-party acts, omissions, delays, outages, fees, reversals, compliance decisions, or service limitations, except as required by law. Merchants, not POSX, are responsible for the goods or services they sell, including pricing, quality, availability, fulfillment, returns, refunds, product warranties, and merchant-specific customer service. POSX may provide payment or rewards infrastructure but does not control merchant products or services.
7. Payments to Merchants
When you authorize a payment, you instruct us and our partners to process the transaction using the selected payment method. You are responsible for reviewing the merchant, amount, currency, payment method, network, order details, fees, and any other transaction information before confirming. Payment processing may be delayed, rejected, or reversed where permitted due to compliance, risk, technical, merchant, processor, banking, network, or legal reasons. Refunds, returns, and disputes may be subject to merchant policies and payment method rules. Cashback, rebates, or rewards related to refunded or disputed transactions may be reversed or adjusted.
8. Bank Deposits and Bank Withdrawals
If bank deposit or withdrawal features are available, you may be required to provide bank account, routing, account owner, address, and verification information. Deposits and withdrawals may be processed by third-party banking or payment partners and may be subject to limits, fees, processing times, cut-off times, holds, compliance review, and additional terms. Where the app displays a conversion between USD and USDC or another supported asset, the conversion rate, fees, timing, and availability are subject to the applicable product terms, partner terms, and market or issuer conditions. We may delay or reject a deposit or withdrawal for compliance, risk, technical, partner, or legal reasons.
9. Digital Asset Transfers and Wallet Addresses
Digital asset transactions require careful review. You are solely responsible for confirming the correct asset, amount, recipient, address, memo or tag if required, and blockchain network before submitting a transaction. Sending an asset to the wrong address, wrong network, unsupported contract, or missing memo/tag may result in permanent loss. Blockchain transactions may be irreversible once broadcast or confirmed. Network fees, gas fees, congestion, forks, network outages, validator behavior, and smart contract risks may affect transactions. We may require address whitelisting, payment password entry, email verification, additional authentication, or compliance review before allowing a digital asset transaction. We may refuse or delay transactions where required or appropriate for security, compliance, risk, or legal reasons.
10. Digital Assets, Stablecoins, and POSX-Related Rewards
Digital assets and stablecoins are not legal tender in many jurisdictions and may not maintain a stable value. Stablecoins may be subject to issuer risk, reserve risk, redemption risk, liquidity risk, smart contract risk, regulatory risk, and market risk. POSX-related token rewards or network shares, where available, are not a promise of profit, dividend, interest, ownership in POSX Inc, voting rights, deposit account, or guaranteed value. We may restrict, suspend, or delist support for any digital asset, token, stablecoin, or network at any time where required by law, partner requirements, security concerns, technical constraints, or business decisions. You are responsible for taxes and reporting related to digital assets, rewards, transfers, payments, and gains or losses.
11. Rewards, Cashback, Rebates, Offers, and Referral Programs
POSX may provide access to merchant-funded offers, cashback, rebates, rewards, referral benefits, promotional posters, invite codes, invite links, direct or indirect referral tracking, and related program information. Rewards are subject to eligibility, merchant participation, transaction qualification, geographic availability, verification, compliance review, abuse prevention rules, limits, timing, and the applicable program rules shown in the app or posted by POSX. Rewards may be calculated, credited, pending, reversed, expired, forfeited, or adjusted based on transaction status, refund, chargeback, suspected abuse, fraud, policy violations, merchant changes, incorrect attribution, technical errors, or legal requirements. Unless expressly stated in final published program rules, rewards have no guaranteed cash value and are not guaranteed to continue. Referral activity must be truthful, lawful, non-deceptive, and non-spam. You may not use bots, fake accounts, paid install schemes, misleading claims, unauthorized advertising, or other abusive methods. Rewards are intended to relate to eligible merchant or network activity, such as qualifying purchases, and not to compensate users merely for downloading apps, posting to social networks, or completing unrelated tasks. We may suspend or terminate referral eligibility for abuse or policy violations.
12. Optional Earning, Staking, or DeFi-Related Features
If POSX makes any earning, staking, vault, DeFi, yield, or similar feature available, it will be subject to separate eligibility requirements, risk disclosures, program terms, partner terms, and regional restrictions. Such features may not be available in all jurisdictions or to all users. Any displayed rate, APY, estimated reward, or historical information is not a guarantee of future results. You should not participate unless you understand the risks, including loss of principal, smart contract risk, counterparty risk, liquidity risk, regulatory risk, and market risk.
13. Fees, Limits, and Taxes
You agree to pay all applicable fees disclosed in the app or applicable program terms, including payment, processing, deposit, withdrawal, conversion, network, gas, card, bank, compliance, or other fees. Fees may change. We may impose minimums, maximums, daily limits, rolling limits, risk limits, velocity limits, or other restrictions. You are responsible for all taxes, duties, and reporting obligations related to your use of the Services, transactions, rewards, and digital assets.
14. Prohibited Conduct
You may not use the Services to:
Violate any law, regulation, sanctions program, court order, or third-party rights.
Engage in fraud, money laundering, terrorist financing, scams, market manipulation, tax evasion, unauthorized financial services, illegal gambling, illegal drugs, weapons trafficking, human trafficking, exploitation, ransomware, darknet activity, or other unlawful activity.
Create fake accounts, misrepresent identity, evade limits, abuse rewards, manipulate referrals, or conduct wash transactions.
Access another user’s account, use stolen payment methods, compromise devices, or interfere with security features.
Send spam, misleading promotions, unauthorized marketing, or false claims about POSX, merchants, rewards, digital assets, or potential value.
Reverse engineer, scrape, copy, attack, overload, disrupt, or misuse the Services or related systems.
Use the Services in any restricted jurisdiction or while subject to sanctions or other legal restrictions.
15. User Content and Promotional Materials
If you create, upload, share, or distribute content through the Services, such as a referral poster, nickname, profile image, message, or feedback, you are responsible for that content. You grant POSX a worldwide, non-exclusive, royalty-free license to host, use, reproduce, display, modify, and distribute such content as necessary to operate, promote, secure, and improve the Services. You must not submit unlawful, misleading, infringing, abusive, or harmful content.
16. Communications and Consent
You consent to receive electronic communications from POSX and our partners, including account notices, transaction confirmations, verification codes, security alerts, policy updates, support messages, and marketing messages where permitted. You may opt out of certain marketing communications, but you may still receive transactional, security, legal, and account-related messages.
17. Suspension, Holds, and Termination
We may suspend, restrict, freeze, hold, close, or terminate your account or access to any Service, and may delay, reject, reverse where possible, or report transactions or rewards, if we believe you violated these Terms, pose a risk, provided inaccurate information, failed verification, engaged in prohibited conduct, created legal or regulatory risk, or if required by law, partner requirements, court order, law enforcement request, sanctions screening, or compliance obligations. You may stop using the Services at any time and may request account deletion as described in the Privacy Policy.
18. Intellectual Property
The Services, including software, designs, logos, trademarks, content, interfaces, graphics, and other materials, are owned by POSX or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the app for your personal or internal business use. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except as permitted by law.
19. Privacy
Our Privacy Policy explains how we collect, use, share, and protect personal information. By using the Services, you acknowledge the Privacy Policy.
20. No Investment Advice
POSX does not recommend that you buy, sell, hold, stake, transfer, or use any digital asset, token, stablecoin, security, financial product, or reward. Information displayed in the Services, including balances, rewards, offers, rates, estimates, educational content, market information, or notifications, is not investment advice or a recommendation. You should make your own decisions and consult qualified advisers where appropriate.
21. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” POSX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION. WE DO NOT GUARANTEE THAT THE SERVICES, PAYMENTS, TRANSFERS, REWARDS, OFFERS, DIGITAL ASSETS, STABLECOINS, NETWORKS, PARTNERS, OR MERCHANTS WILL BE AVAILABLE, ACCURATE, TIMELY, SECURE, UNINTERRUPTED, OR FREE FROM LOSS.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POSX AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, DIGITAL ASSET LOSSES, NETWORK FAILURES, MARKET LOSSES, OR UNAUTHORIZED ACCESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO POSX FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE THREE MONTHS BEFORE THE CLAIM AROSE OR (B) USD $100.
23. Indemnification
You agree to indemnify and hold harmless POSX and its affiliates, directors, officers, employees, agents, partners, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to your use of the Services, your violation of these Terms, your violation of law, your infringement of third-party rights, your user content, your transactions, or your misuse of rewards or referral programs.
24. Governing Law and Dispute Resolution
These Terms are governed by the laws of [GOVERNING LAW], without regard to conflict-of-law rules. Any dispute arising from or relating to these Terms or the Services will be resolved in [COURTS / ARBITRATION FORUM AND VENUE], except that either party may seek injunctive or equitable relief in a court of competent jurisdiction. If you include arbitration or class action waiver language, insert final counsel-approved terms here before publication.
25. Changes to the Services or Terms
We may update these Terms from time to time. We will post the updated Terms with a new “Last Updated” date and provide additional notice where required by law. Your continued use of the Services after an update becomes effective means you accept the updated Terms. If you do not agree, stop using the Services.
26. Apple App Store Additional Terms
If you download the app from the Apple App Store, the following terms apply: Apple is not a party to these Terms and is not responsible for the app or its content. Apple has no obligation to provide maintenance or support services for the app. To the extent any warranty applies and is not effectively disclaimed, Apple’s sole warranty obligation is to refund the purchase price, if any, for the app. Apple is not responsible for any product claims, intellectual property claims, or legal claims related to the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you.
27. Export Controls and Sanctions
You may not use, export, re-export, import, or transfer the Services except as authorized by applicable law. You represent that you are not located in, organized under the laws of, or ordinarily resident in any restricted jurisdiction, and are not subject to sanctions or other restrictions that prohibit use of the Services.
These Terms, the Privacy Policy, and any applicable additional terms are the entire agreement between you and POSX regarding the Services. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, operation of law, or to an affiliate. Headings are for convenience only.
